1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Quanta ("we," "us," "our") governing your access to and use of the Quanta platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

Quanta is an AI-powered construction cost consulting platform that provides:

• AI-generated cost estimates for construction projects in Egypt
• Bill of Quantities (BOQ) generation and analysis
• Document analysis and cost consulting
• Market price information and trends
• Related tools and features as described on our platform

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

• Account Creation: You must create an account using Google OAuth authentication
• Account Security: You are responsible for maintaining the confidentiality of your account and for all activities under your account
• Immediate Notification: You must immediately notify us of any unauthorized use of your account
• One Account: You may not maintain multiple accounts or use another user's account without permission
• Account Termination: We reserve the right to terminate accounts that violate these Terms

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, malware, or harmful content
• Share sensitive personal information, trade secrets, or confidential third-party data in chats
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to spam, harass, or harm other users
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service's servers or networks
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to generate content that is defamatory, fraudulent, or misleading

Violation of these restrictions may result in immediate account termination.

• No Professional Advice: Quanta does not provide professional construction cost consulting services. AI responses are for informational purposes only
• Accuracy Not Guaranteed: We do not guarantee the accuracy, completeness, or reliability of AI-generated estimates
• Market Volatility: Construction prices fluctuate frequently. AI estimates may not reflect current market conditions
• Regional Variations: Estimates are based on Egyptian market data and may not apply to other regions
• Professional Verification Required: All AI-generated estimates must be verified by licensed quantity surveyors or cost engineers before use in tenders, contracts, or financial decisions

7. Intellectual Property Rights

• Our Property: The Service, including its code, design, AI models, content, and trademarks, is owned by Quanta and protected by intellectual property laws
• Your Content: You retain ownership of content you upload. By uploading, you grant us a license to process and store the content to provide the Service
• AI Outputs: You own the outputs generated by the AI for your use, subject to these Terms
• Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution

8. Payment and Subscription Terms

8.1 Subscription Plans

• Free Tier: Limited messages per day with basic features
• Pro Tier: Enhanced limits and premium features (paid subscription)
• Enterprise Tier: Custom limits and dedicated support (contact sales)

8.2 Payment Terms

• Payment Processor: Payments are processed by xPay, a third-party payment gateway
• Billing Cycle: Subscriptions are billed monthly or annually based on your selection
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We may change subscription prices with 30 days' prior notice
• Refunds: Subscription fees are non-refundable except as required by law
• Taxes: Prices include applicable Egyptian taxes. International users are responsible for local taxes

8.3 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• You will retain access to paid features until the end of the paid period
• No refunds are provided for partial billing periods

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Key points:

• Data Collection: We collect account information, chat content, uploaded files, and usage data
• Data Retention: Chat messages are retained for 1 year, account data while active
• Your Rights: You can export or delete your data at any time via Settings

The Service integrates with third-party services:

• xPay: For payment processing (subject to xPay's Terms)
• Neon Technology: For database hosting
• Vercel Inc.: For deployment and hosting

We are not responsible for the practices or content of these third-party services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quanta and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your upload or sharing of unlawful or harmful content

14. Term and Termination

• Term: These Terms remain in effect while you use the Service
• Termination by You: You may terminate by deleting your account via Settings
• Termination by Us: We may suspend or terminate your account at any time for violations of these Terms
• Effect of Termination: Upon termination, your right to use the Service ends immediately, but Sections 6-20 survive termination

15. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the Arab Republic of Egypt
• Jurisdiction: Any disputes shall be resolved in the courts of Cairo, Egypt
• Class Action Waiver: You waive any right to participate in class actions
• Arbitration: Disputes shall be resolved through binding arbitration in accordance with Egyptian arbitration law

16. Changes to Terms
